RESOLUTION OF CONSENT TO TRANSFER

WHEREAS, pursuant to Ordinance 1985-4 adopted by the Town Council of the Town of Millersburg, Indiana on July 12^th, 1993, granted a cable television franchise in the Town, which ordinance requires prior approval of the Town of any assignment or transfer of the rights under the Ordinance; and

WHEREAS, Oak Cable desires to transfer its rights under the Ordinance to MidAmerican Cable Systems Limited Partnership, and this Resolution now needs to be adopted so that the Ordinance provisions will now be correctly assigned to MidAmerican and

WHEREAS, MidAmerican Cable Systems Limited Partnership has agreed to accept the terms of said franchise and the obligations there under and agrees to perform all conditions thereof.

NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Millersburg, IN hereby adopts this Resolution, consenting to the assignment and transfer of all rights of Oak Cable under the Ordinance to MidAmerican Cable Systems Limited Partnership.

Whereas, It has been determined that it is now necessary to appropriate more money than was appropriated in the annual budget; now, therefore:

Section 1: Be it ordained by the Town Council of the Town of Millersburg, Indiana, Elkhart County, that for the expenses of the taxing unit the following additional sums of money are hereby appropriated out of the funds named and for the purposes specified, subject to laws governing the same:
